By accessing or using InvoiceFold's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
These Terms constitute a legally binding agreement between you and InvoiceFold Inc. ("Company," "we," "us," or "our").
2. Description of Services
InvoiceFold provides a cloud-based invoicing and billing platform that enables users to:
- Create and send professional invoices
- Accept online payments from clients
- Manage client relationships and contacts
- Track payments and generate financial reports
- Automate recurring billing and payment reminders
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time.
3. User Accounts
Registration: You must register for an account to use our services. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access.
Account Requirements: You must be at least 18 years old and have the legal capacity to enter into these Terms. Accounts registered by bots or automated methods are not permitted.
4. Acceptable Use
You agree not to use our services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Send spam or unsolicited communications

5. Payment Terms
Subscription Fees: Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as expressly stated in these Terms.
Payment Processing: Payments are processed through secure third-party payment processors. You authorize us to charge your payment method for all fees incurred.
Price Changes: We may change our fees at any time. Price changes will be notified at least 30 days in advance and will take effect at the start of your next billing cycle.
Taxes: You are responsible for all applicable taxes. We will collect taxes where required by law.
6. Intellectual Property
Our IP: InvoiceFold and its licensors retain all rights, title, and interest in our services, including all intellectual property rights. You may not copy, modify, distribute, or create derivative works of our services.
Your Content: You retain ownership of content you create using our services (invoices, client data, etc.). By using our services, you grant us a limited license to use, store, and process your content as necessary to provide the services.
Feedback: Any feedback, suggestions, or ideas you provide may be used by us without compensation or attribution.
7. Data and Privacy
Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Data Ownership: You own your data. We process your data only as necessary to provide our services and as described in our Privacy Policy.
Data Export: You can export your data at any time through our platform or by contacting support.
Data Deletion: Upon account termination, we will delete your data within 90 days, except as required by law.
8. Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We do not warrant that our services will be uninterrupted, error-free, or secure. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We are not responsible for any errors in invoices you create or send through our platform. You are solely responsible for the accuracy of your invoices and compliance with applicable tax laws.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOICEFOLD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services
- Any damages exceeding the fees paid by you in the 12 months preceding the claim
These limitations apply regardless of the theory of liability and even if we have been advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless InvoiceFold and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of our services
- Your violation of these Terms
- Your violation of any third-party rights
- Your content or invoices created through our services
11. Termination
By You: You may terminate your account at any time through your account settings or by contacting support.
By Us: We may suspend or terminate your account if you violate these Terms or for any other reason with 30 days' notice. We may terminate immediately for serious violations.
Effect of Termination: Upon termination, your right to use our services ceases immediately. We may delete your data after 90 days unless required to retain it by law.
12. Dispute Resolution
Governing Law: These Terms are governed by the laws of the State of California, without regard to conflict of law principles.
Arbitration: Any disputes shall be resolved through binding arbitration in San Francisco, California, under the rules of the American Arbitration Association.
Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in class action lawsuits.
Time Limit: Any claim must be brought within one year of the event giving rise to the claim.
13. Changes to Terms
We may update these Terms at any time. Material changes will be notified via email or through our services at least 30 days before taking effect.
Your continued use of our services after changes become effective constitutes acceptance of the new Terms. If you do not agree to the changes, you must stop using our services.
